Ofichem to Acquire Kinentia Biosciences and Expand Into U.S. Market

Ofichem has signed an agreement to acquire Kinentia Biosciences, a Drug Substance CDMO based in Rensselaer, New York. Completion of the transaction remains subject to CFIUS approval and other customary closing conditions. The acquisition is intended to establish an operational presence for Ofichem in the United States and expand its Drug Substance business.

Founded in 2007, Kinentia supports pharmaceutical and biotechnology companies with early-stage development, preclinical programs and clinical development activities. Following completion, Kinentia customers will have access to Ofichem’s wider Drug Substance network, including process scale-up, regulatory support and GMP manufacturing at Ofichem’s FDA-inspected facility in Ter Apel, Netherlands.

The acquisition will also allow Ofichem to work more closely with its existing U.S. customers and Kinentia’s biotechnology customer base. The company said the combination will provide greater flexibility in where development and manufacturing activities are conducted and support regional manufacturing strategies across the United States and Europe. Ofichem also intends to explore U.S. controlled-substance capabilities, subject to relevant licenses and approvals.

Kinentia will add expertise in polysaccharides, small peptides and complex new chemical entities to Ofichem’s existing capabilities in small molecules, highly potent compounds requiring OEB 3-5 controls, oligonucleotides and targeted protein degradation technologies including PROTACs. Following completion, the Drug Substance business will operate across New York, Ter Apel and Uppsala, with the sites providing different areas of scientific and manufacturing expertise.
