GE HealthCare has entered into a definitive agreement to acquire SOFIE Biosciences, a U.S.-based CMO for PET radiopharmaceuticals, from Trilantic North America for $945 million in cash. The transaction is expected to close in the first half of 2027, subject to closing conditions including regulatory approvals. Following completion, SOFIE Biosciences will become part of GE HealthCare’s Pharmaceutical Diagnostics (PDx) segment.
The acquisition will establish GE HealthCare’s footprint in the time-critical “final mile” of U.S. PET radiopharmaceutical supply. SOFIE Biosciences operates a U.S. network of 15 CMO sites with 21 cyclotrons, as well as a theranostics-focused CDMO site. The acquisition is expected to broaden GE HealthCare’s U.S. radiopharmaceutical footprint and support its ability to provide solutions across the theranostics pathway, including cyclotrons, imaging technology, digital workflow tools and radiotherapeutics infrastructure.
PET radiopharmaceuticals are used in precision medicine to visualize metabolic and molecular activity and to deliver targeted therapies across a range of disease areas. The release notes that F18-labeled PET radiopharmaceuticals have a 110-minute half-life. SOFIE Biosciences also has a Phase III F18 Fibroblast Activation Protein Inhibitor (FAPI) asset, FAPI-74, for which GE HealthCare already holds outside-of-U.S. rights. GE HealthCare said it will continue expanding access to its existing proprietary F18 radiopharmaceutical products while advancing new products through SOFIE Biosciences and other CMO partners.
Following closing, SOFIE Biosciences will continue operating as an independent manufacturing partner for its customers and will supply its existing product portfolio, including products from other radiopharmaceutical providers.
“As demand continues to increase for F18 products, and pipelines for new diagnostics and therapeutics continue to expand, joining GE HealthCare marks an exciting step in our journey as a leading U.S. CMO.”
Patrick Phelps, SOFIE Biosciences co-founder, President and CEO
The transaction will expand GE HealthCare’s participation across the radiopharmaceutical value stream. The company said it expects SOFIE Biosciences to grow in the low double digits as part of GE HealthCare and plans to use its radiopharmaceutical manufacturing expertise across the U.S., Europe and Japan to invest in and grow the business.
