Scinai Immunotherapeutics Secures $10 Million Standby Equity Purchase Agreement

Scinai Immunotherapeutics has announced a Standby Equity Purchase Agreement (SEPA) with YA II PN, Ltd., a fund managed by Yorkville Advisors Global, LP. The agreement grants Scinai the right, but not the obligation, to sell up to $10 million in American Depository Shares (ADSs) over a three-year period, subject to regulatory approvals.

Under the SEPA, Scinai can sell ADSs at a 3% discount to the lowest daily volume-weighted average price over three consecutive trading days following an advance notice. The sales are subject to a beneficial ownership cap of 9.99% of the company’s share capital at any given time. The agreement imposes no minimum commitments, penalties for non-use, or restrictions on the company’s other capital-raising activities.

CEO Amir Reichman highlighted the agreement’s flexibility, stating, “The SEPA provides us with significant flexibility to access additional capital as we advance our R&D programs, expand our CDMO business, and pursue strategic opportunities.” He noted that the ability to raise capital without issuing warrants allows the company to take advantage of favorable market conditions.

Proceeds from potential ADS sales will be used to further develop Scinai’s NanoAbs programs, support its CDMO business, and fund general corporate purposes, including working capital, R&D, and capital investments. The company maintains full control over the timing and extent of its funding utilization.
