Samsung Biologics has announced a rights offering expected to raise approximately $2.18 billion (KRW 3 trillion) to support its three-dimensional growth strategy covering capacity, portfolio and geographic expansion. The company plans to allocate approximately $1.97 billion (KRW 2.71 trillion) of the proceeds to its planned acquisition of PolyPeptide Group, with approximately $210 million (KRW 290 billion) designated for the expansion of Bio Campus II.
Samsung Biologics announced in July an all-cash offer to acquire PolyPeptide Group for CHF 1.46 billion (approximately KRW 2.71 trillion). The acquisition would expand the company’s portfolio into peptide-based therapeutics beyond antibodies and antibody-drug conjugates (ADCs).
The company is also evaluating the sequential launch of Plants 6 through 8 at Bio Campus II following the completion of Plant 5 in 2025. If brought online as planned, the additional plants would increase Samsung Biologics’ global manufacturing capacity to 1,385,000 liters by 2032.
The rights offering comprises approximately 2.27 million new common shares priced at approximately $958 (KRW 1.322 million) per share, representing a discount of approximately 15% from the reference price. The total funds represent approximately 4.90% of the company’s market capitalization based on the previous trading day’s closing price. The offering will first be made to existing shareholders on a pro-rata basis, followed by a general public offering for any unsubscribed shares. The securities registration statement is scheduled to take effect on September 30, with existing shareholder subscriptions planned for November 9–10 and general public subscriptions on November 12–13. The new shares are targeted for listing on November 30.
