Transpharmation Acquires OrganoTherapeutics to Combine Translational In Vivo CRO Expertise With Human Stem Cell-Derived Organoid Technology

COMPANY PROFILE
  • Transpharmation Ltd., a Toronto-based science-led global CRO specializing in neuroscience, pain, and metabolic disease preclinical contract research, has acquired OrganoTherapeutics SARL — a Luxembourg-based pioneer in patient-derived organoid technologies for CNS and neurodegenerative disease — combining 25 years of translational in vivo pharmacology with human stem cell-derived 3D organoid capabilities under a single CRO platform.
  • OrganoTherapeutics will continue to operate as a named subsidiary of Transpharmation, with the combined platform enabling biopharma sponsors to investigate CNS disease biology, validate targets, and evaluate novel therapeutics using both established translational in vivo approaches and advanced human-relevant organoid models — supporting more informed go/no-go decisions earlier in drug development.

Transpharmation Ltd., a science-led global CRO specializing in neuroscience, pain, and metabolic disease preclinical contract research, announced on October 28, 2026, from Toronto, Canada, the acquisition of OrganoTherapeutics SARL, a Luxembourg-based leader in patient-derived organoid technologies for the discovery and development of novel therapies targeting neurodegenerative and CNS disorders. OrganoTherapeutics will continue to operate under its own name as a subsidiary of Transpharmation, with a smooth transition designed to foster collaboration and strengthen the capabilities of both organizations.

The acquisition is the first step in Transpharmation’s strategic ambition to build a translational CRO services platform that extends beyond conventional animal models to incorporate human tissues and systems. Over 25 years, Transpharmation has built a reputation for translational in vivo pharmacology across CNS therapeutic areas including epilepsy, pain, neurodegeneration, depression, anxiety, schizophrenia, and cognition. OrganoTherapeutics adds a complementary and increasingly critical layer — patient-derived human stem cell-derived 3D organoids, particularly in the neurology space — that enables sponsors to investigate target engagement, disease biology, and compound efficacy in human-relevant model systems before committing to clinical programs.

The strategic rationale for the combination is grounded in a period of significant scientific advancement in neurodegenerative disease research. Breakthroughs in genetics, biomarker characterization, and patient-derived cell models are reshaping the understanding and treatment of Alzheimer’s disease, Parkinson’s disease, and related CNS conditions — creating both new therapeutic targets and new demands on preclinical CRO service providers to deliver human-relevant data that better predicts clinical outcomes. Conventional in vivo animal pharmacology, while essential, has well-documented limitations in neurodegenerative indications where translational failure rates remain high. Patient-derived organoid technologies offer a complementary approach to generate disease-relevant cellular data that neither replaces nor duplicates in vivo assessment, but instead reduces target and compound risk before the in vivo commitment.

For CRO sponsors developing CNS candidates, the combined Transpharmation and OrganoTherapeutics platform creates a single scientific partner capable of delivering both approaches within a coordinated program — enabling sponsors to design studies that triangulate evidence across in vivo pharmacology and human-derived organoid systems, rather than sourcing the two capability sets from separate vendors. OrganoTherapeutics was co-founded by Dr. Jens Schwamborn, a recognized leader in human stem cell-derived brain organoid research, who noted that joining Transpharmation represents the logical next step for the organization given the complementarity of the two scientific platforms.

“Transpharmation has built a reputation for translational in vivo pharmacology over the last 25 years. With the acquisition of OrganoTherapeutics we are taking our first step in the fulfilment of our ambition to build translational CRO services that include human tissues and systems. We see a clear future for the business in the provision of non-animal models alongside our preclinical pharmacology. Drug discovery requires better prediction of drug action and efficacy prior to clinical trials. We believe that being at the forefront of patient-derived 3D organoid work, particularly in the Neurology space, will help provide our clients with increased confidence in their molecules and targets.”
